Terms of Service for Marmot Village

These Terms of Service (“Terms”) govern the conditions of use of the online shop operated as Marmot Village (the “Service”) provided by Marmot Inc. (“we,” “us,” or “our”) on this website. Registered users (“Users”) shall use the Service in accordance with these Terms.

Article 1 (Scope of Application)

These Terms shall apply to all relationships related to the use of the Service between the User and us.
In addition to these Terms, we may establish various rules and provisions regarding the use of the Service (the “Individual Provisions”). These Individual Provisions shall constitute a part of these Terms regardless of their title.
In the event of any inconsistency between these Terms and the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.

Article 2 (User Registration)

In order to use the Service, applicants must agree to these Terms and apply for registration using the method specified by us. Registration is completed upon our approval and notification to the applicant.
We may refuse registration without obligation to disclose the reason if:

  • The applicant has previously violated these Terms

  • We otherwise deem the registration inappropriate

Article 3 (User ID and Password Management)

Users are responsible for properly managing their user ID and password.
Users may not transfer, lend, or share their credentials with any third party.
If login credentials match registered information, we will consider the activity to be performed by the registered user.
We are not liable for damages caused by unauthorized use unless due to our intentional misconduct or gross negligence.

Article 4 (Sales Contract)

A sales contract is formed when a User places an order and we accept it.
Ownership of the product transfers to the User when the product is handed over to the shipping carrier.

We may cancel the contract without prior notice if:

  • The User violates these Terms

  • Delivery cannot be completed due to unknown address or prolonged absence

  • Trust between the User and us is deemed compromised

Payment methods, delivery methods, cancellations, and returns shall be governed separately by our policies.

Article 5 (Intellectual Property Rights)

All content provided through the Service, including product images (“Content”), is owned by us or rightful licensors.
Users may not reproduce, reuse, modify, or distribute such content without permission.

Article 6 (Prohibited Actions)

Users must not engage in the following:

  • Violating laws or public order

  • Violating these Terms

  • Criminal acts

  • Infringing intellectual property rights

  • Interfering with system operations

  • Commercial use of obtained information

  • Disrupting Service operations

  • Unauthorized access or attempts

  • Payment methods become invalid

  • Payment obligations are not fulfilled

  • No response is received from the User for a certain period

  • We deem the use inappropriate

We are not liable for damages arising from such actions.

Article 9 (Withdrawal)

Users may withdraw from the Service through prescribed procedures.

Article 10 (Disclaimer and Limitation of Liability)

We do not guarantee that the Service is free from defects, errors, or legal issues.
We are not liable for any damages arising from the Service, except where prohibited by applicable consumer protection laws.
Even in such cases, liability for indirect or special damages is excluded unless caused by our gross negligence or willful misconduct.
We are not responsible for disputes between users or third parties.

Article 11 (Changes to Service)

We may change or discontinue the Service without notice and shall not be liable for any resulting damages.

Article 16 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan.
Any disputes shall be subject to the exclusive jurisdiction of the court with jurisdiction over our head office location.
